Terms of Service

1. Acceptance
By creating an account on EventOS (the "Platform"), operated by DineWise Solutions LLC, a Texas limited liability company ("EventOS", "we", "us"), you agree to these Terms of Service. If you do not agree, do not use the Platform.
2. Service description
EventOS is software-as-a-service (SaaS) for ticket sales, event management, box office, gate scanner, and reporting. We charge a monthly or annual subscription based on the plan you pick, plus a per-sale commission processed through Stripe Connect. We currently operate exclusively in the United States, with charges in USD. Expansion to other markets is planned.
3. Account and customer responsibilities
You are responsible for keeping your account confidential, for the accuracy of the information you register, and for complying with all laws applicable to the events you organize (permits, capacity, local taxes, etc.).
4. Payments and commissions
The subscription is charged in advance through Stripe. Upgrades prorate instantly. Downgrades apply at the end of the cycle. The per-sale commission varies by plan (between 2% and 5%).
5. Cancellation and refunds
You can cancel your subscription anytime from the "Plan & billing" section. Access remains active until the end of the current cycle. No refund is issued for the current period.
6. Personal data
We process personal data under applicable United States law, including the Texas Data Privacy and Security Act (TDPSA) and, for California residents, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA). 7. Missed payments
If an invoice fails to charge, we'll notify you. You have 30 days to remedy before the account flips to read-only (you can see data but not create or charge). At 60 days unresolved, we reserve the right to archive the account.
8. Limitation of liability
EventOS is provided "as is" without express or implied warranties, including warranties of merchantability or fitness for a particular purpose. We are not liable for indirect, incidental, special, or consequential damages, lost profits, or data loss. Our maximum liability is capped at the amount paid for subscription in the last 12 months.
9. Governing law and jurisdiction
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state and federal courts located in the State of Texas, and you consent to their personal jurisdiction.
10. Changes
We may update these terms. Material changes will be notified to the account Owner's email at least 30 days in advance.
